Unclip AI: Usage Agreement and Guidelines

1. Acceptance

These Guidelines and this Usage Agreement (“Agreement”) govern your use of Unclip AI and the ability to upload files, images, videos, audio and text (“Inputs”) and to receive AI-generated captions, scripts, images, voice-overs and other outputs (“Outputs”). By using Unclip AI, including by attaching any file or sending any message, you confirm that you have read, understood and agree to everything in this Agreement. If you do not agree, do not use Unclip AI.

2. You are responsible for your Inputs

You are solely and fully responsible for anything you upload, attach or type into Unclip AI. You represent and warrant that:

• You own the Inputs or have every right, licence, consent and permission needed to upload and use them, including any third-party, personality, trademark or copyright rights.
• Your Inputs do not infringe anyone's rights and are not illegal, defamatory, obscene, hateful, or otherwise prohibited.
• You will not upload anyone else's private, confidential or personal data without their consent.
• You accept full responsibility for any consequences arising from your Inputs and from how you use the Outputs (for example, when you post them on social media).

3. Data, rights & how we use your content

By using Unclip AI you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable and sub-licensable licence to store, host, reproduce, modify, adapt, publish, analyse, create derivative works from, distribute, commercialise, sell and otherwise use your Inputs, Outputs, prompts, conversations, and any associated usage data, for any purpose, including but not limited to:

• Operating, providing, securing and improving the Service and our AI systems.
• Training, fine-tuning, evaluating and developing current and future models, products and features.
• Analytics, research, and business purposes.
• Commercial use, including licensing, transferring or selling such data (in identifiable or de-identified/aggregated form) to third parties.

We retain your conversations and related data and may keep them even after you delete a chat from your view, to the extent permitted by law. Where required, we handle personal data in line with our Privacy Policy. You waive any moral rights in your Inputs and Outputs to the fullest extent permitted by law.

4. AI Outputs, no guarantee

Unclip AI is an automated tool and can make mistakes. You acknowledge and agree that:

• Outputs may be inaccurate, incomplete, offensive, biased or unsuitable, and must be reviewed and edited by you before any use.
• Outputs are not professional, legal, financial, medical or other expert advice.
• Similar or identical Outputs may be generated for other users; we do not guarantee that any Output is unique, original or free of third-party rights.
• You are responsible for checking that any Output you publish complies with the rules of the platform you post it on and with all applicable laws.

5. Consequences we do not bear

To the maximum extent permitted by law, Unclip, its owners, team, partners and suppliers are NOT liable, and you release us from any responsibility, for any of the following arising out of or connected with your Inputs, the Outputs, or your use of Unclip AI:

• Any legal claim, notice, dispute, penalty, fine or takedown (including copyright, trademark, defamation, privacy, publicity or IP claims) resulting from your Inputs or your use of Outputs.
• Any account suspension, ban, demonetisation, strike or action taken against you by any social-media or third-party platform.
• Any direct, indirect, incidental, special, consequential, exemplary or punitive damages, or loss of profit, data, goodwill or reputation.
• Any inaccuracy, error, offensive, misleading or harmful content in the Outputs, and any decision you make relying on them.
• Any loss or corruption of Inputs/Outputs, downtime, or unavailability of the Service.

You agree to indemnify and hold us harmless from any claim, loss, liability, cost or expense (including legal fees) arising from your Inputs, your use of the Outputs, or your breach of this Agreement.

6. Acceptable use

You agree not to use Unclip AI to:

• Create or upload unlawful, infringing, harmful, sexual-exploitative, hateful, harassing or deceptive content.
• Impersonate others, create misleading deepfakes, or violate anyone's privacy or publicity rights.
• Attempt to reverse-engineer, disrupt, overload, or misuse the Service or its underlying systems.

We may suspend or terminate access, and remove content, at our discretion if we believe this Agreement has been breached.

7. Changes & contact

We may update these Guidelines from time to time; continued use after changes means you accept the updated version. This Agreement should be read together with our Terms & Conditions, Privacy Policy and Refund Policy. Questions? Email hello@unclip.in.
